Introduction

Imagine you work at a company and learn that it is about to be bought for a huge price. If you buy the stock before the news becomes public, you could make easy money. But doing so would be illegal. This is called insider trading.

What Is Insider Trading?

Illegal insider trading means buying or selling a stock based on important information that the public does not know. This could include upcoming earnings, mergers, or product failures. It applies to company employees and also to anyone they share the information with.

Why It Is Illegal

Insider trading is unfair to other investors who do not have access to the same information. If people believed insiders were constantly profiting from secret knowledge, they would lose trust in the stock market. The SEC investigates suspicious trading and can bring civil or criminal charges.

Legal Insider Trading

Not all trading by insiders is illegal. Executives and employees can buy and sell their company's stock legally, as long as they are not using secret information and they report their trades. Many use pre-planned trading schedules to avoid any appearance of wrongdoing.

Conclusion

Insider trading laws help keep the stock market fair for everyone. Trust is the foundation that allows millions of investors to participate!
